These Terms & Conditions govern the use of the Digital Chords website and the services provided by Digital Chords, as well as the use of Chords, our business management platform, where applicable.

Digital Chords is the company that provides software development and design services and operates Chords. Chords is a Digital Chords product, not a separate company or business.

By using the website, engaging Digital Chords for services, or using Chords where applicable, you agree to the terms that apply to your use. If you do not agree with these terms, you should not use the applicable service.

Agency Services

Software & Application Development

Digital Chords specializes in the development of software applications for various platforms and devices, including the web and mobile. Digital Chords also provides ancillary design and user experience services for software development projects.

The scope of services for a particular project is defined by the proposal, statement of work, or other project documentation.

Project Contracts

The specific terms and conditions of a project, including rates, are defined by the project proposal, statement of work, or service agreement between Digital Chords and the client.

Rates & Payment

Payment terms, including schedule, deposits, and refunds where applicable, will be established in the applicable proposal, statement of work, or agreement between Digital Chords and the client.

Ownership of Intellectual Property and Software

Rights and ownership of intellectual property and software will be determined by the terms of the applicable contract.

Client Obligations

Clients will provide Digital Chords with the information and materials necessary for the performance of a project and grant Digital Chords reasonable access in a timely manner.

Clients will review and approve project deliverables. Failure to provide the information, materials, or access required to perform the project may affect Digital Chords' ability to deliver on time. Revisions will be handled in accordance with the applicable agreement.

Termination

Both Digital Chords and the client may terminate a contract in accordance with the terms of that contract and applicable law.

Warranties

Digital Chords warrants that services will be performed in accordance with the project agreement and applicable law. Unless stated otherwise in a project agreement, Digital Chords makes no other warranties or guarantees.

To the extent permitted by law, services and materials will be provided in accordance with the applicable agreement and legal requirements.

Limitation of Liability

To the extent permitted by law, the obligations and liabilities of Digital Chords for its services, under the applicable project agreement and these Terms, will be limited in accordance with the provisions of these Terms.

Chords Platform

Digital Chords is the operator of Chords, our business management software. These terms govern use of the Chords platform by customers and their users.

Subscriptions and Accounts

Some features of Chords may be available only to customers with an account or subscription. Customers are deemed to have accepted these terms and are responsible for use of the Chords platform by their users, to the extent permitted by law.

Acceptable Use

Users of the Chords platform are prohibited from:

• Using Chords to break the law or encourage others to break the law
• Gaining unauthorized access to Chords or the accounts of others
• Using Chords to attempt to access the data of others
• Reselling the Chords platform
• Interfering with the secure operation of the platform
• Introducing viruses or other malicious code
• Disclosing the confidential information of customers or other persons or entities
• Using the platform in a way that violates or infringes the rights of others, or that defames, harasses, or threatens any person

Digital Chords may take appropriate action, including legal action, in response to a violation of these terms, subject to the applicable Customer Agreement and the limits of applicable law.

Customer Data

Customers retain ownership of the data they submit to Chords, subject to the rights and permissions Digital Chords needs to provide, maintain, secure, and improve the platform, as permitted by the applicable agreement and law.

Availability and Changes to the Platform

Digital Chords may maintain, update, modify, or improve Chords from time to time. Changes may affect features, functionality, interfaces, infrastructure, or supporting systems.

Digital Chords does not promise a specific uptime percentage unless such a commitment is expressly stated in a written agreement.

General

Digital Chords may change these Terms at any time. Updated Terms are effective immediately upon being posted to the Digital Chords website or the Chords platform.
